Our portfolio of technology helps power our world - come join our team and see how YOU can make a difference.Job Description:MPS is looking for a Sr. Stock Plan Administrator to join the growing global Legal team. This position will be responsible for the day-to-day administration of the Company's domestic and international equity plans, which includes processing and recording all stock plan activities in an accurate and timely manner.This position is an individual contributor role and will report to the Director of Reporting and Compliance, and dotted line to the General Counsel. In addition, the role will have heavy interactions with the executives and Board members in managing their individual stock plans, sales and reporting. Prior experience and knowledge in stock compensation, accounting and/or SEC reporting is desired but not required. We will train the candidate who is willing to learn, expand their responsibility and grow in the organization. The candidate must have great interpersonal skills and a service-oriented attitude to interface with employees and executives.Responsibilities:

  • Administer the Company's global equity incentive and employee stock purchase plans.
  • Work closely with cross-functional teams (accounting, tax, payroll, legal) on managing the processes and procedures related to complex equity programs.
  • Research US and international reporting requirements and implement policies and processes to ensure compliance with each jurisdiction's rules and regulations.
  • Manage Insider Trading Policy, open trading windows and 10b5-1 program.
  • Maintain the Equity Edge Online database and the integrity of the data.
  • Process RSU and Performance Award grants.
  • Manage RSU/PSU releases daily.
  • Process Grant Agreements for all Domestic and International participants.
  • Process employee new hires and terminations.
  • Process the semi-annual ESPP purchase, including International.
  • Ensure accurate and timely reporting on Section 16 filings (Forms 3, 4 and 5) with the SEC related to performance-based awards.
  • Prepare DWAC reports for RSU transactions.
  • Serve as primary liaison with the Company's brokerage firms and transfer agent to maintain employee equity accounts.
  • Partner with Payroll to ensure accurate taxation and recording of RSU releases, and ESPP dispositions, and quarterly reconciliations.
  • Assist the Finance Department with the accounting, payroll, reconciliations, SOX testing and year-end audit.
  • Respond to employee questions regarding RSUs, ESPP, Rule 10b5-1 and ETrade matters, and provide training sessions as necessary.
  • Administer the Company's China SAFE proceeds process.
  • Work with internal and external resources to complete year-end tax requirements for Section 6039 forms 3921 and 3922.Requirements:
    • Successful candidate will usually have a BA/BS or AA.
    • At least seven years of stock administration experience with a multi-national publicly traded company with performance awards.
    • Experience in administering complex performance-based grants and award-related dividends.
    • Experience in managing international employees and complying with their reporting requirements.
    • Ability to perform research on complex stock administration issues (for example, performance awards with different goals, tranches and vesting conditions, tax and other reporting requirements for newly established foreign subsidiaries, etc.), and work with various functions (E*TRADE, Accounting, Payroll, and Outside Counsel) to resolve such issues.
    • Advanced proficiency in Excel, such as vLookup and macros.
    • Strong analytical and organizational skills.
    • Strong written and interpersonal skills, with an ability to communicate effectively with employees, senior management, and internal/external partners.
    • Excellent organizational skills and ability to manage multiple tasks in order to meet deadlines without sacrificing attention to detail.
    • Strong work ethic and the ability to work independently.
    • Positive attitude and ability to work with others to implement effective solutions.
    • Knowledge of accounting rules related to stock-based compensation preferred.Locations: San Jose, CA or Kirkland, WAMPS offers a comprehensive benefits package.
